  • Formation of new charitable organizations of all kinds including private grant-making foundations, private operating foundations, public charities, supporting organizations, Section 501(c)(4) social welfare organizations, and Section 501(c)(6) chambers of commerce and business leagues and Section 501(c)(7) social clubs
  • Structuring charitable gifts including charitable remainder trusts, charitable lead trusts, charitable gift annuities, scholarships and other restricted gifts, donor advised funds and private foundations
  • Advising tax-exempt organizations regarding state and federal governance and compliance issues such as state reporting requirements, including annual reports, charitable solicitations, board structure, policies and duties of directors and officers
  • Providing advice regarding the “private foundation rules” including minimum distribution requirements, self-dealing rules, excess business holdings and taxable expenditures
  • Assisting organizations in creating affiliates, transition including converting organizations from for-profit to non-profit, or non-profit to for-profit, changing their tax-exempt character from private foundation to public charity, mergers, acquisitions and dissolutions
  • Providing advice regarding political activities, including lobbying and unrelated business income tax (UBIT)
  • Assisting organizations in obtaining and maintaining state and local property and sales tax exemptions
